These Terms and Conditions (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and Intelascan™, a Wyoming Limited Liability Company with its principal office at 1621 Central Ave, Cheyenne, WY 82001 (“Company,” “we,” “our,” or “us”).

By accessing or using our website, services, software, APIs, tools, and technology (collectively, the “Services”), you acknowledge that you have read, understood, and agree to be bound by these Terms.

1. Use Eligibility and Restrictions

  • Our Services are intended solely for business-to-business (B2B) use.

  • There are no age or geographic restrictions; our services are available internationally.

  • By using the Services, you represent and warrant that:

    • You have the authority to bind your company or organization to these Terms.

    • You will not use the Services for any unlawful or prohibited activity.

    • You will not engage in scraping, reverse engineering, exploiting AI systems, or otherwise misusing the technology.

2. Account Terms

  • Currently, we do not offer individual user accounts.

  • Users may connect to the Services via API integrations, which allow for secure data uploads and retrieval of insights.

  • Users are responsible for maintaining the security of their API credentials and any other methods of integration.

3. Data Rights & Usage

  • Users retain ownership of all data uploaded to the platform.

  • By submitting data, you grant Intelascan™a non-exclusive, worldwide, royalty-free license to store, process, analyze, and return insights derived from your data.

  • We may retain a copy of uploaded datasets to improve model performance and generate insights.

  • Processed data and insights are returned via API or downloadable file upon request.

4. License & Intellectual Property

  • All content, technology, software, models, algorithms, and visualizations provided through our Services are proprietary and owned by Intelascan™, unless otherwise stated.

  • You may not reverse engineer, decompile, or attempt to extract source code or underlying models.

  • We do not use or distribute any open-source components at this time.

5. Payment and Refund Terms

  • All Services are provided on a paid basis.

  • Payments are currently handled through invoicing.

  • Subscription plans and free trials may be offered at our discretion.

  • Refunds are not guaranteed, but cancellations are permitted. Please contact us to discuss individual cases.

6. Termination Clause

We reserve the right to suspend or terminate access to our Services at any time, without notice, for reasons including but not limited to:

  • Misrepresentation or misuse of data

  • Non-payment of invoices

  • Suspected fraudulent or illegal activity

  • Breach of these Terms

7. Legal Disclaimers & Limitation of Liability

  • Our platform is a supportive tool, not a definitive source of truth. We do not guarantee accuracy or outcomes.

  • The Services are provided “as is” and “as available,” without warranties of any kind, either express or implied.

  • No liability is assumed for any losses or damages resulting from reliance on our AI-generated insights or data outputs.

  • Use of our Services is entirely at your own risk.

8. AI/ML Use Terms

  • Our systems utilize artificial intelligence, machine learning, and computer vision technologies.

  • AI-generated outputs are not infallible and may evolve over time. We disclaim all liability arising from such predictions or errors.

  • You may not use our AI outputs to train other AI models.

  • All training data, algorithms, and models are proprietary and confidential.

9. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Wyoming, without regard to conflict of law provisions.

Binding Arbitration Clause
Any dispute, claim, or controversy arising out of or relating to these Terms or the use of the Services shall be resolved exclusively by final and binding arbitration under the rules of the American Arbitration Association (AAA). Arbitration will be conducted in Cheyenne, Wyoming, in English, and by a single arbitrator.
You and Intelascan™ agree that:

  • Each party will bear its own arbitration costs.

  • No class or representative actions or arbitrations will be allowed.

  • The arbitrator’s decision will be final and enforceable in any court of competent jurisdiction.
